Explanation of Responses:

1. Each Restricted Stock Unit ("RSU") represents the right to receive one share of the Issuer's Common Stock.

2. Each consists of a grant of restricted stock units awarded to the Reporting Person on May 25th, 2023 under the "Non Employee Director Compensation Policy". Each restricted stock unit represents a contingent right to receive one share of the Issuer's Common Stock. Subject to the Reporting Person's continuous service with the Issuer, shares will be issuable to the Reporting Person upon the settlement of the restricted stock unit award, which vests in full on the earlier of (a) the one-year anniversary of the date of grant and (b) the day immediately preceding the next Annual Meeting of Stockholders.
