1. The Company required the sale of these shares to cover tax withholding obligations upon the vesting of restricted stock.

2. Consists of shares of Class B Common Stock, 14,940 of which are held directly and 70,000 restricted shares which vest as follows: 20,000 shares on each of September 1, 2016 and September 1, 2017; and 10,000 shares that vest on each of October 16, 2016, October 16, 2017 and October 16, 2018.
