Explanation of Responses:

1. The reporting person is a participant in the Atlas Energy Group, LLC (the "Company") 2015 Long-Term Incentive Plan (the "Plan"). The reporting person received 175,000 phantom units under the Plan on June 8, 2015. Each phantom unit represents the right to receive, upon vesting, one common unit of the Company. The phantom units in the Plan vest 33% per year. The units are receivable without additional consideration.

2. This amount includes 175,000 common units underlying the equivalent number of phantom units.

Remarks:

This filing is being made to correct a typographical error in the amount of securities beneficially owned.
