2. 2/3 of the shares subject to the option are fully-vested and exercisable as of October 30, 2019. The remaining 1/3 of the shares subject to the option will vest on October 30, 2020, subject to the Reporting Person's continued service to the Issuer.

4. The Restricted Stock Units will vest in three (3) equal annual installments on August 6, 2020, August 6, 2021 and August 6, 2022, subject to the Reporting Person's continued service to the Issuer through each such date.

5. Each Restricted Stock Unit represents a contingent right to receive one share of the Issuer's Common Stock upon vesting.
