Explanation of Responses:

1. The reported transaction is an award of restricted stock units in respect of the issuer's common stock. Subject to the reporting person's continued service as a director of the issuer through the vesting date, these restricted stock units are scheduled to vest on February 18, 2021 and settle within 30 days thereafter.

2. This amount includes 4,227 unvested restricted stock units in respect of the issuer's common stock. These restricted stock units are scheduled to vest as described in footnote 1 to this Form 4.

3. The reporting person beneficially owns these shares of the issuer's common stock indirectly through the Nick Bhambri Revocable Trust dated June 23rd, 2008 (the "Trust"). The reporting person serves as the trustee of the Trust.
