Item 1.01 Entry into a Material Definitive Agreement
On October 18, 2021, Odyssey Group International, Inc. (the “Company”) entered into a Securities Purchase Agreement (the “SPA”) with Tysadco Partners (“Tysadco”), an accredited investor. Pursuant to the SPA, the Company has sold, in a private placement, restricted shares of the Company’s common stock, inducement shares and warrants.
Pursuant to the terms and conditions stated in the SPA, Tysadco purchased and the Company issued and sold for total proceeds of $250,000, (i) 833,333 restricted shares of the Company’s common stock, (ii) 666,667 restricted shares of the Company’s common stock as inducement shares, and (iii) 833,333 warrants (the “Warrant”) exercisable at $0.50 per common share expiring in five years.
The form of SPA, and Warrant are attached as Exhibits 10.1 and 10.2 to this Current Report on Form 8-K and are incorporated herein by reference. The description of the SPA and Warrant contained herein is a summary and is qualified in its entirety by reference to the form of the SPA and the Warrant.
