Explanation of Responses:

1. Settled pursuant to restricted stock units.

2. Each restricted stock unit represents a contingent right to receive one share of TLCC common stock.

3. The restricted stock units vest in four equal annual installments beginning January 1, 2016. Vested shares will be delivered to the reporting person as soon as practicable following each vesting date (but in no event later than two and one-half months after the end of the year in which the vesting date occurs).
