On July 29, 2019, pursuant to a plan of disposition adopted on May 31, 2019 in accordance with Rule 10b5-1 of the Securities Exchange Act of 1934 (the "10b5-1 Plan"), Mr. Greenfield sold 417 shares in a single trade at the price of $22.00. No more than 59,444 shares may be sold in the aggregate under the 10b5-1 Plan, which terminates no later than May 31, 2020, regardless of whether the maximum of 59,444 shares in the aggregate have been sold.
