Pursuant to the Agreement and Plan of Merger, dated as of November 1, 2016, by and among Columbia Pipeline Partners LP (the "Issuer"), CPP GP LLC, a Delaware limited liability company and the general partner of the Issuer, Columbia Pipeline Group, Inc., a Delaware corporation ("CPG"), and Pony Merger Sub LLC, a Delaware limited liability company and wholly owned subsidiary of CPG, each common unit of the Issuer held by the reporting person was canceled and converted into the right to receive $17.10416 in cash, without interest, less any applicable withholding taxes. |
