Explanation of Responses:

1. These shares were sold to cover tax withholding obligations upon the vesting of restricted stock units.

2. Option to purchase 40,000 shares vested and became exercisable as to 10,000 shares on 11/5/2010 and the remaining shares vested and became exercisable 12 equal quarterly installments thereafter, beginning on 3/31/2011.
