Explanation of Responses:

1. The reporting person disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein. This filing shall not be deemed an admission that the reporting person is, for purposes of Section 16 of the Securities Exchange Act of 1934 or otherwise, the beneficial owner of any equity securities covered by this filing.

2. Pursuant to an Agreement between the Issuer and CIDM LLC, dated May 13, 2019 (the "Agreement") and in connection with that certain Management Agreement between the Issuer and CIDM LLC, the Issuer awarded stock appreciation rights to CIDM LLC. Pursuant to the Agreement, such stock appreciation rights may only be exercised upon a Change in Control (as defined in the Agreement) of the Issuer. In addition, pursuant to the Agreement, CIDM LLC has the right to receive in cash, on the date of exercise of each stock appreciation right, the excess of (a) the Market Value (as defined in the Agreement) per share on the date of exercise over (b) the Base Price (as defined in the Agreement).
