Explanation of Responses:

1. Forfeiture of performance stock awards under the SPX FLOW Stock Compensation Plan.

2. Shares delivered to the issuer for the payment of withholding taxes due upon the vesting of performance stock previously granted under the SPX FLOW Stock Compensation Plan.

3. 2020 restricted stock units granted pursuant to the SPX FLOW Stock Compensation Plan. Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock.

4. The restricted stock units vest in three equal annual installments beginning on February 27, 2021.

5. 2019 restricted stock units granted pursuant to the SPX FLOW Stock Compensation Plan. Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock.

6. The restricted stock units vest in three equal annual installments beginning on February 28, 2020.

7. The option vested in three equal annual installments beginning on January 2, 2016, and the exercise period ends on January 2, 2025.
