Explanation of Responses:

1. Of such 9,276,310 shares, 5,375,000 shares are owned directly by FCMI Parent Co., and 3,901,310 shares are owned directly by The Buckingham Charitable Foundation. The Buckingham Charitable Foundation is a Canadian Registered Charity of which Albert Friedberg is a Trustee. All the shares purchased in Table I were purchased directly by FCMI Parent Co. Mr. Albert D. Friedberg is the President of FCMI Parent Co., which is owned by Mr. Friedberg and members of his family and controlled by Mr. Friedberg.
