Explanation of Responses:

1. These securities were granted to Ms. Quinn for her services as a member of the Company's Board of Directors.

2. 25% of these options shall vest at the at the end of each quarter beginning January 1, 2022, such that all shares pursuant to the option shall be vested on December 31, 2022. Quarterly vesting of the options will be subject to Ms. Quinn attending board meetings, unless such absence is excused by the Chairman of the Board.
