Explanation of Responses:

1. Each restricted stock unit represents the right to receive the cash value of one share of the Issuer's common stock at settlement.

2. Previously, 25,683 shares of cash-settled restricted stock units were reported in Table I. One-third of these units vested on March 13, 2015 and the remaining balance has been transferred from Table I and are now included in Table II.

3. Represents shares tendered by reporting person to the Issuer for payment of withholding taxes; this transaction is exempt pursuant to Rule 16b-3 under the Securities and Exchange Act of 1934.
