1. This is an award of restricted stock units which vest one year from the date of grant. Each restricted stock unit represents a contingent right to receive one share of MOD common stock. Vested shares will be delivered to the reporting person in three equal annual installments beginning within 30 days of termination of service with MOD or the vesting date, whichever is later.
