Explanation of Responses:

1. Pursuant to a resolution adopted by the Board of Directors of the Issuer, on the dates that are six (6) and twelve (12) months from the Annual Meeting of Stockholders (each, the "Grant Date"), each non-employee director receives a fully vested and unrestricted stock award under the Issuer's 2012 Stock Incentive Plan (the "Plan"). Each stock award consists of that number of whole shares of common stock of the Issuer, subject to adjustment for rounding, equal in value to $45,000, based on the Fair Market Value of the issuer's common stock on the respective Grant Date. This amendment corrects the number of shares granted on October 26, 2019. The original filing incorrectly reported 1,269 shares, rather than the 1,903 shares actually granted.
