Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On September 27, 2023, as part of its periodic review of the governing documents of PayPal Holdings, Inc. (the “Company”), the Company’s Board of Directors (the “Board”) approved amendments to the Company’s Amended and Restated Bylaws (the “Bylaws”) to update and enhance the procedures and disclosure requirements for stockholder nominations of directors, including to address matters relating to the universal proxy rules set forth in Rule 14a-19 under the Securities Exchange Act of 1934, as amended, and to require that a stockholder soliciting proxies use a proxy card color other than white, along with other clarifying and conforming changes. The amendments also include revisions to update the Company’s adjournment and postponement procedures for stockholder meetings and to reflect developments in the Delaware General Corporation Law relating to the availability of stockholder lists at stockholder meetings.
The Bylaws reflecting these amendments became effective immediately upon approval by the Board.
