Explanation of Responses:

1. The Reporting Person is a vice president of Goldman Sachs & Co. LLC ("Goldman Sachs"). Goldman Sachs is a subsidiary of The Goldman Sachs Group, Inc. ("GS Group"). The Reporting Person disclaims beneficial ownership of the securities reported herein except to the extent of his pecuniary interest therein, if any, and this report shall not be deemed an admission that any such person is the beneficial owner of, or has any pecuniary interest in, such securities for purposes of Section 16 of the Securities Exchange Act of 1934, as amended, or for any other purpose.

2. Goldman Sachs and GS Group may be deemed to beneficially own indirectly, in the aggregate, 17,005,016 shares of common stock, par value $0.01 per share, of ProSight Global, Inc. ("PGI" or the "Issuer") by reason of ProSight Investment LLC's and ProSight Parallel Investment LLC's (collectively, the "GS Investment Entities") respective equity interests in ProSight Global Holdings Limited, the Issuer's parent holding company, because affiliates of Goldman Sachs and GS Group are managing members or members of the GS Investment Entities.

3. Each restricted stock unit ("RSU") represents a contingent right to receive one share of PGI's common stock.

4. Represents 9,183 non-employee director RSUs granted on June 30, 2020 pursuant to PGI's non-employee director compensation policy as compensation to Anthony Arnold for his service as member of the board of directors for the period from the completion of PGI's initial public offering to December 31, 2019. Such RSUs were fully vested on grant and will be settled on the first to occur of the grantee's separation of service and a "change of control" as defined in PGI's 2019 Equity Incentive Plan. Mr. Arnold has an understanding with GS Group to hold the shares on its behalf.
