1. Shares withheld by the Issuer on vesting of restricted stock units (payable solely in common stock of the Issuer on each vesting date) to cover applicable withholding taxes.

2. On June 11, 2024, the Issuer effected a 1-for-100 reverse stock split (the "Reverse Stock Split") of its shares of common stock, par value $0.01 per share. The number of securities beneficially owned was adjusted by dividing by 100 to reflect the Reverse Stock Split.
