Explanation of Responses:

1. On February 20, 2018 (the "Date of Grant"), the compensation committee of the board of directors of the Company granted the reporting person an aggregate of 16,487 restricted shares (the "Shares") of common stock pursuant to a Restricted Stock Award Agreement. The Shares vest in equal annual installments on each of the first three anniversaries of the Date of Grant, subject to the reporting person's continued service through each applicable vesting date and subject to acceleration and forfeiture in certain circumstances.

2. Includes 62,852 remaining unvested restricted shares of common stock, which, upon vesting, settle for shares of common stock, subject to acceleration or forfeiture.
