1. These shares were acquired under the MaxPoint Interactive, Inc. 2015 Employee Stock Purchase Plan in transactions that were exempt under both Rule 16b-3(c) and Rule 16b-3(d).

2. Represents the automatic withholding of the issuer to satisfy the reporting person's tax obligation associated with the vesting of restricted stock units granted on September 19, 2016. This is authorized in the applicable restricted stock award agreement. No shares were actually sold by the reporting person as this reflects a non-market disposition.
