ITEM 1.01 | ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT |
On August 14, 2020, Rimini Street, Inc. (“we,” ��us,” “our” or the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Roth Capital Partners, LLC, as representative of the several underwriters named therein (the “Underwriters”), relating to the offer and sale of 6,100,000 shares of common stock, par value $0.0001 per share of the Company, at a public offering price of $4.50 per share. Pursuant to the Underwriting Agreement, the Company has granted the Underwriters an option to purchase up to an additional 915,000 shares at the public offering price less the underwriting discount. The option is exercisable at any time and from time to time during the 30-day period from the date of the Underwriting Agreement. The offering is being made pursuant to the Registration Statement on Form S-3 (File No. 333-228322) (the “Registration Statement”), including the accompanying prospectus, dated November 21, 2018, and as supplemented by a prospectus supplement dated August 14, 2020, filed with the Securities and Exchange Commission (the “Commission”) pursuant to the Securities Act of 1933, as amended.
The Company expects to receive gross proceeds from the sale of the 6,100,000 shares of approximately $27.5 million and net proceeds of approximately $25.1 million after deducting the underwriting discount and commissions and estimated offering expenses payable by the Company, and intends to use the net proceeds for working capital and other general corporate purposes.
The Underwriting Agreement contains customary representations, warranties and agreements by the Company, conditions to closing, indemnification obligations of the Company and the Underwriters, other obligations of the parties and termination provisions. The foregoing description of the Underwriting Agreement is qualified in its entirety by reference to the complete text of the Underwriting Agreement, a copy of which is filed as Exhibit 1.1 to this Current Report on Form 8-K and is incorporated herein by reference.
The offering is expected to close on August 18, 2020, subject to customary closing conditions. A copy of the legal opinion of Baker & McKenzie LLP relating to the legality of the shares being offered is filed as Exhibit 5.1 to this Current Report on Form 8-K and is incorporated by reference into the Registration Statement.
