Explanation of Responses:

1. The 6,010 shares of Class A Common Stock, par value $0.01 per share (the "Class A Common Stock"), are represented by 6,010 restricted stock units ("RSUs") granted under the Newmark Group, Inc. Long Term Incentive Plan. Each RSU represents a contingent right to receive one share of Class A Common Stock. Of the 6,010 RSUs, 3,005 RSUs will vest on September 28, 2023, and 3,005 RSUs will vest on September 28, 2024, provided that the reporting person continues to serve as a member of the Board of Directors on such dates.

2. Also includes 6,481 RSUs granted on August 10, 2022, 3,240 of which will vest on August 10, 2023, and 3,241 RSUs will vest on August 10, 2024.
