Explanation of Responses:

1. Each cash-settled restricted stock unit ("Cash-Settled RSUs") is the economic equivalent of one share of the Issuer's common stock. The transaction represents the vesting and settlement of one-third of the Cash Settled RSUs as determined by the terms of the applicable Cash Settled RSU agreement.

2. This transaction represents the withholding by the Issuer of shares to pay taxes in connection with the vesting of restricted stock units ("RSUs"). The timing and amount of the transaction were determined by the terms of the applicable restricted stock unit award and were not within the control of the reporting person.

3. 01/03/2023.

4. Each Cash-Settled RSU is the economic equivalent of one share of the Issuer's common stock.

5. Reflects a grant of Cash-Settled RSUs that was made to the reporting person on January 3, 2023 and that will vest and be cash settled equally over a three-year period on each anniversary date of the grant date.
