Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of the Company's common stock.

2. The restricted stock units shall vest 100% on April 30, 2022 provided, however, that the grant shall immediately vest as of the date of any change in control of the issuer.

3. The restricted stock units shall vest on the earlier of 50% on January 14, 2023 and 50% on January 14, 2024 provided, however, that the grant shall immediately vest as of the date of any change in control of the issuer.
