Explanation of Responses:

1. The restricted stock units ("RSUs") were granted on November 7, 2018 pursuant to the Issuer's Omnibus Incentive Compensation (the "Plan") and vest in two equal annual installments on the second and third anniversaries, respectively, of the grant date.

2. RSUs convert into common stock on a one-for-one basis.

3. The RSUs were granted on March 6, 2019 pursuant to the Plan and will vest in three equal annual installments beginning on the first anniversary of the grant date.
