Item 4. Ownership.

The information required by this item with respect to each Reporting Person is set forth in Rows 5 through 9 and 11 of the cover page to this Schedule 13G. The ownership percentages reported are based on 36,021,007 shares of Common Stock outstanding as reported by the Issuer in its Current Report on Form 8-K filed with the Securities and Exchange Commission on December 8, 2023.

The Master Fund directly holds 2,606,679 shares of Common Stock. The Master Fund also directly holds 18,083 shares of the Issuer’s Series B Non-Voting Convertible Preferred Stock, par value $0.0001 per share (“Series B Preferred Stock”). Following approval by the Issuer’s stockholders of the conversion of the Series B Preferred Stock, the shares of Series B Preferred Stock held by the Master Fund will be automatically converted into an aggregate of 723,320 shares of the Issuer’s Common Stock, subject to the ownership limitations set forth in the terms of the Series B Preferred Stock, which prohibits the Master Fund from converting shares of the Series B Preferred Stock if, following such conversion, the Master Fund, together with its affiliates, would beneficially own more than 9.9% of the Issuer’s outstanding shares of Common Stock.

Perceptive Advisors serves as the investment manager to the Master Fund and may be deemed to beneficially own shares held by the Master Fund. Mr. Edelman is the managing member of Perceptive Advisors and may be deemed to beneficially own the shares held by the Master Fund.
