Explanation of Responses:

1. Vape Holdings, Inc. (the "Company") issued 20,000,000 shares of common stock of the Company (the "Shares") to Justin Braune pursuant to the Executive Employement Agreement dated December 10, 2015, which shall be held in escrow for the benefit of Justin Braune. The Company will release the Shares in 5,000,000 share increments upon each of the 6, 12, 18, and 24-month anniversaries of the date of the Executive Employee Agreement.
