Explanation of Responses:

1. The options will vest over five years, at a rate of 20% per year, beginning on the first anniversary of the grant date, April 30, 2014, and immediately vest upon a change of control.

2. The beneficial ownership of shares were mistakenly reported in the reporting person's original Form 3. This amended Form 3 is filed solely to correct the number of options owned by the reporting person.
