1. Represent shares of restricted stock that are issued subject to vesting and forfeiture. These shares vest in equal annual installments of 33 1/3 on each of the first three anniversary dates of the grant date.

2. This transaction was executed in multiple trades at prices ranging from $20.96 to $21.26. The price reported above reflects the weighted average purchase price. The reporting person hereby undertakes to provide upon request to the SEC staff, the issuer or a security holder of the issuer full information regarding the number of shares and prices at which the transaction was effected.

3. Performance stock units - each performance stock unit represents a contingent right to receive one share of common stock. The performance stock units will vest and become exercisable at the end of the 3 calendar year period 2018-2020 based upon the satisfaction of certain performance criteria.
