Explanation of Responses:

1. Restricted stock units - each restricted stock unit represents a contingent right to receive one share of common stock. The restricted stock units vest in equal annual installments of 33 1/3% on each of the first three anniversary dates of the grant date.

2. Performance stock units - each performance stock unit represents a contingent right to receive one share of common stock. The performance stock units will vest and become exercisable at the end of the 3 calendar year period 2019-2021 based upon the satisfaction of certain performance criteria.
