Sanchez contributed 1,263,768 common units representing limited partner interests in Sanchez Midstream Partners LP to SP Common Equity Subsidiary LLC ("SPCES"), a wholly owned subsidiary of SP Common Equity LLC ("SPCE"), in exchange for certain membership interests in SPCE.
