Explanation of Responses:

1. Each restricted stock unit represents the contingent right to receive one share of Gilead Sciences Inc.'s common stock.

2. 100% of the restricted stock units will vest on the earlier of May 12, 2022 or the day immediately preceding the next regular annual stockholders meeting.

3. 25% of the shares subject to the option vest on each three-month anniversary from May 12, 2021 such that 100% of the shares subject to the option will be fully vested and exercisable upon the earlier of May 12, 2022 or the day immediately preceding the next regular annual stockholders meeting.
