Explanation of Responses:

1. On 07/01/2013, the reporting person was granted a performance-based option to purchase 18,000 shares of common stock. This option is eligible to vest in five equal annual installments beginning 07/01/2014, subject to the achievement of certain performance criteria for each of the fiscal years ending December 31, 2013, 2014, 2015, 2016, and 2017. The performance criteria for 2015 were met and their achievement approved on 02/02/2016, resulting in 3,600 options earned.

2. This stock appreciation right vests in four annual installments beginning on 02/02/2017.
