Item 1.01 Entry into a Material Definitive Agreement.
As previously reported by LivaNova PLC (“LivaNova” or the “Company”) in its Current Report on Form 8-K filed on December 3, 2020, on December 2, 2020, LivaNova and Mitral Holdco S.à r.l. (the “Purchaser”), a company incorporated under the laws of Luxembourg and wholly owned and controlled by funds advised by Gyrus Capital S.A., a Swiss private equity firm, entered into a Share and Asset Purchase Agreement (the “Original Purchase Agreement”) which provides for the divestiture of certain of LivaNova’s subsidiaries as well as certain other assets and liabilities relating to the Company’s heart valve business and to the site management operations conducted by the Company’s subsidiary LivaNova Site Management (“LSM”) at its Saluggia campus.
On April 9, 2021, LivaNova and the Purchaser entered into an Amended and Restated Share and Asset Purchase Agreement (the “A&R Purchase Agreement”) which amends and restates the Original Purchase Agreement to, among other things, defer the closing of the sale and purchase of LSM by up to two years and include or amend certain additional terms relating to such deferral, including certain amendments relating to the potential hazardous materials liabilities of LSM, the related expense reimbursement provisions, and transfer of certain heart valve-related employees and information technology assets. In addition, the A&R Purchase Agreement includes certain amendments relating to mechanics and timing for the initial closing of the transaction and subsequent closings of the local businesses. As previously announced, the initial closing of the transaction with respect to the heart valve business is expected to occur in the first half of 2021.
The closing of the LSM sale and purchase is subject to a number of closing conditions that are beyond our control, and there can be no assurance that such conditions will be satisfied or that such sale and purchase will occur in accordance with expected plans, on the currently contemplated timeline or at all.
The foregoing description of the A&R Purchase Agreement does not purport to be complete and is subject to, and qualified in its entirety by, the full text of the A&R Purchase Agreement, a copy of which is attached as Exhibit 2.1 hereto and is hereby incorporated by reference herein. The warranties, covenants and other agreements contained in the A&R Purchase Agreement are solely for the benefit of the Purchaser, the Company and the other persons expressly identified in the A&R Purchase Agreement as third party beneficiaries. In addition, the warranties, covenants and other agreements contained in the A&R Purchase Agreement are qualified by certain information disclosed to the Purchaser on a confidential basis in a virtual dataroom and by confidential disclosure schedules. The Company’s investors and security holders are not third party beneficiaries under the A&R Purchase Agreement and should not place undue reliance on the warranties, covenants or other agreements or any descriptions thereof as characterizations of the actual state of facts or the condition of the assets, liabilities or the businesses that are the subject of the A&R Purchase Agreement. Moreover, certain information concerning the assets, liabilities or the businesses that are the subject of the A&R Purchase Agreement may change after the date of the A&R Purchase Agreement and such subsequent information may or may not be fully reflected in the Company’s public disclosures.
