1. Represents a Special Executive Officer Earnings Per Share ("EPS") Performance-based Restricted Stock Unit Award. The performance above target in respect to a defined Adjusted EPS metric resulted in a performance factor of 200%.

2. Represents additional restricted stock units awarded pursuant to the 2019 performance-based RSU grant agreement resulting from performance above target in respect to defined Return on Capital Employed ("ROCE") and Relative Total Shareholder Return ("TSR") metrics, as certified by the Compensation and Management Development Committee.
