Item 8.01. Other Events.
On July 6, 2016, Care Capital Properties, Inc. (the “Company”) issued a press release announcing the private offering by its wholly owned operating partnership, Care Capital Properties, LP, of senior notes due 2026 (the “Notes”) in an aggregate principal amount to be determined, subject to market and other conditions. The Notes will be offered and sold only to qualified institutional buyers pursuant to Rule 144A and to certain persons outside of the United States pursuant to Regulation S, each under the Securities Act of 1933, as amended.
A copy of the press release is filed herewith as Exhibit 99.1 and incorporated in this Item 8.01 by reference.
