Explanation of Responses:

1. The sales were effected pursuant to a Rule 10b5-1 trading plan adopted by the reporting person on May 18, 2022, and represent the sale of shares necessary to meet tax withholding obligations as a result of vesting in restricted stock units on August 15, 2022. The sales do not represent discretionary trades by the reporting person.

2. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $9.57 to $9.63, inclusive.
