Explanation of Responses:

1. 5,874,018 shares were issued as a part of a Loan Conversion Agreement of July 18, 2023, which was the subject of an 8-K the same day. The Form 4 for this conversion was inadvertently un-filed due to a clerical error.

2. 25,000 shares of Common Stock are granted every quarter starting on September 30, 2021, under certain conditions (200,000 shares of Common Stock in total over a period of eight quarters) and extended an additional 8 quarters.
