Explanation of Responses:

1. Each Restricted Stock Unit ("RSU") represents the right to receive one share of Class A common stock, par value $0.0001 per share ("Class A Common Stock"), of Altus Power, Inc. (the "Issuer") awarded under the Issuer's 2021 Omnibus Incentive Plan (the "Plan"). The RSUs vest in full on the date of the Issuer's 2025 annual meeting of stockholders, which is expected to take place in May 2025, subject to the Reporting Person's continued service to the Issuer through such date.

2. Each RSU represents the right to receive one share of Class A Common Stock of the Issuer awarded under the Plan. The RSUs vest 50% on the date of the Issuer's 2025 annual meeting of stockholders, which is expected to take place in May 2025, and 50% on the date of the Issuer's 2026 annual meeting of stockholders, which is expected to take place in May 2026, subject to the Reporting Person's continued service to the Issuer through such dates.
