1. The price reported is a weighted average price. These shares were sold in multiple transactions at prices ranging from $24.30 to $24.75 per share, inclusive. Mr. Flack undertakes to provide to Transcat, Inc. (the "Company"), any security holder of the Company, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth above.

2. These restricted stock units, which convert into common stock on a one-for-one basis, vest on March 26, 2022, except as otherwise provided in the award notice.

3. These restricted stock units, which convert into common stock on a one-for-one basis, vest one-third on each of the first three anniversaries of the June 19, 2017 grant date.

4. These restricted stock units, which convert into common stock on a one-for-one basis, vest on March 27, 2021 except as otherwise provided in the award notice.
