Use of Proceeds: | | The net proceeds of the Offering will be used to fund, in part: (i) a portion of the purchase price for the acquisition of all of the outstanding shares in the capital of Amdipharm Mercury Limited (the “Acquisition”); and (ii) the fees and expenses incurred in connection with the Acquisition. In the event the Underwriters’ Option is exercised, any additional net proceeds will be allocated to the partial satisfaction of the purchase price for the Acquisition and/or general corporate purposes. |

| | In the event that the closing of the Acquisition does not occur, the net proceeds from the Offering (before deducting expenses of the Offering) will initially be added to the Company’s working capital and will subsequently be applied to fund future acquisitions in furtherance of the Company’s business plan and for general corporate purposes and, with available cash on hand, to potentially repay certain debt obligations of the Company. |
