Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 20, 2021, Andrew Schmidt, the Chief Financial Officer of Guardion Health Sciences, Inc. (the “Company”) provided written notice to the Company of his decision not to renew the term of his employment pursuant to that certain Employment Agreement, dated July 20, 2020, by and between the Company and Andrew C. Schmidt (the “Agreement”). Pursuant to the Agreement, Mr. Schmidt’s employment with the Company as Chief Financial Officer will terminate on July 20, 2021, unless terminated sooner in accordance with its terms. The Company is engaged in a search for his replacement.
