Explanation of Responses:

1. Reporting Person sold all of his shares of the Issuer's Common Stock pursuant to a Purchase Agreement by and among the Reporting Person, the Issuer, MVP REIT II Operating Partnership, L.P., a Delaware limited partnership, and Color Up, LLC, a Delaware limited liability company affiliated with Bombe Asset Management LLC, a Cincinnati, Ohio based alternative asset management firm.
