Explanation of Responses:

1. The options were granted on October 19, 2015 under the Companys Omnibus Equity Incentive Plan (the Omnibus Plan) and vest over four years, with the first 25% vesting on the first anniversary of the date of grant and 25% vesting yearly thereafter.

2. This grant of Restricted Stock Units (each, an RSU) was made pursuant to the Companys Omnibus Plan. Each RSU is the economic equivalent of one common share of the Company. The RSUs vest over four years, with the first 25% vesting on the first anniversary of the date of grant and 25% vesting yearly thereafter.
