Explanation of Responses:

1. The amount of securities beneficially owned has been adjusted to reflect the vesting of previously issued restricted common stock and reflects the consummation of a stock split effected upon the closing of Fogo de Chao, Inc.'s initial public offering pursuant to which each share held by a holder of common stock was reclassified into 25.4588 shares.

2. Shares of restricted stock: 846 shares will vest December 22, 2016, 847 shares will vest December 22, 2017.

3. The amount of securities beneficially owned has been adjusted to reflect the consummation of a stock split effected upon the closing of Fogo de Chao, Inc.'s initial public offering pursuant to which each share held by a holder of common stock was reclassified into 25.4588 shares.
