Message from Jim Mullen & Michel Lagarde: Thermo Fisher Scientific to Acquire Patheon

Dear Colleagues,
Today we are announcing that Patheon has entered into an agreement to be acquired by Thermo Fisher Scientific. We want to take a moment to provide some background and context on this important and exciting news, as well as what to expect in the days ahead.
Most importantly, Thermo Fisher’s interest in our company is based on the outstanding value you have helped create. Together we have built a global leader in the CDMO industry with outstanding growth prospects, deep scientific and technical expertise, and talented and dedicated employees who are committed to providing innovative solutions that help our customers deliver the highest quality medicines to patients.
After careful consideration, our Board of Directors concluded that a transaction with Thermo Fisher was in the best interests of Patheon and all its stakeholders, including its employees, customers and investors. Under the terms of the agreement, Patheon will be acquired by Thermo Fisher for $35 per share in cash, or approximately $7.2 billion.
Thermo Fisher is the world leader in serving science with its extensive offering of products and services. The company is focused on accelerating life science research, solving complex analytical challenges, improving patient diagnostics and increasing laboratory productivity. Thermo Fisher is excited about the opportunity to add Patheon’s growing business to complement its offering. It’s also important to note that Thermo Fisher’s mission – to enable its customers to make the world healthier, cleaner and safer – is very much aligned with our dedication to a Healthier World Delivered and our Five Commitments.
This transaction is expected to be completed by the end of 2017, and until then, Patheon and Thermo Fisher will operate as separate companies. It is critical that we all continue to stay focused on our very important work at hand and delivering on our commitments to our customers.
