Explanation of Responses:

1. Includes 6,366 Restricted Stock Units (RSUs) granted on March 18, 2019. Each RSU represents the right to receive one share of GCP common stock. RSUs vest upon the following schedule and are settled in shares of GCP common stock upon vesting: 1,437 RSUs vest in substantially equal installments on each of the first, second and third anniversary of the grant date; 4,929 RSUs vest in substantially equal installments on each of the first and second anniversary of the grant date.

2. Options were granted on March 18, 2019 and become exercisable in substantially equal installments on each of the first, second and third anniversary of the grant date.
