Explanation of Responses:

1. Each Restricted Stock Unit "RSU" represents a contingent right to receive one share of GCP common stock. RSUs vest in substantially equal installments on each of the first, second, and third anniversary of the grant date and are settled in shares of GCP common stock upon vesting.

2. Options become exercisable in substantially equal installments on each of the first, second and third anniversary of the grant date.
